KEY DATES IN ISAGRO'S HISTORY

1992-95  -  1996-99  -  2000-03  -  2004-06

Isagro was formed in 1992 as a spin-off from Enichem Agricoltura, a company created from the fusion of the agrochemical divisions of Montedison and Enichem.

1993
Eleven Isagro managers, led by Giorgio Basile, take over the company in a management buy-out.

1994
Isagro becomes a limited company and transfers its research and development activities to a new company, Isagro Ricerca S.r.l., to increase efficiency and facilitate financing. Partners in Isagro Ricerca are the Japanese Arysta LifeScience Corporation (19%), its American subsidiary Arvesta Corporation (5%) and Phyteurop S.A. (15%).

1995
Isagro forms Isam S.r.l., in which it has a 51% stake with private partners holding the remaining 49%. Isam provides services for weed control along railway lines and the maintenance of monuments and public parks.

1996 - 1998
Isagro transfers to Isagro Italia S.r.l. its Italian distribution operations, thus enabling it to seek a partner for these activities. In 1998, Isagro reaches an agreement with Rohm & Haas, which acquires 50% of Isagro Italia and grants it exclusive Italian distribution rights for Rohm & Haas products.

2000
Isagro reaches a collaboration agreement with Aventis CropScience Italia S.p.A., today Bayer Cropscience S.p.A, to set up AgriFormula S.r.l, a company that formulates and packages products of the two partners and of third parties.

2001
January
Isagro sets up Isagro BioFarming S.r.l., to operate in the biological agriculture products market. To broaden its portfolio with innovative products, Isagro BioFarming in May acquires 51% of Biochem S.r.l., a company that researches and produces microorganisms.
July
Following the acquisition of Rohm & Haas by the Dow AgroScience group, Isagro buys back 50% of the capital of Isagro Italia.
October
Isagro acquires the agrochemical branch of Caffaro. This acquisition brings important growth opportunities thanks to:
  • the acquisition of new know-how
  • entry into the copper fungicide market (Adria plant)
  • reinforcement in formulation and packaging of agrochemicals (Aprilia plant)
  • integration of Caffaro distribution network in Isagro Italia, the acquisition of Siapa S.r.l. which distributes Group products to agricultural consortia
  • the acquisition of home and garden products business.

November
Through the newly-formed Isagro (Asia) Agrochemicals PVT Ltd Isagro acquires the agrochemical division of RPG LifeScience, a company quoted on the Mumbai (India) exchange specialising in the synthesis, formulation and packaging of agropharmaceuticals. In this way Isagro gets control of a highly qualified chemical synthesis production facility, a number of pyrethroid insecticides and moves into direct distribution in the Indian market.

2002
May
Isagro sets up a joint venture with Sumitomo Chemical Company Ltd, Japan’s largest chemical group, which acquires 50% of Isagro Italia, which meanwhile had acquired full control of Siapa.
November
Isagro finalised an agreement with Staehler, a German company active in the development, formulation and distribution of crop protection products. Pursuant to the agreement, Staehler has agreed to contribute Isagro Ricerca's research costs, in exchange for which Staehler will have a non-exclusive right to distribute any products resulting from such innovative research in Germany, Austria and Switzerland.
December
Isagro acquires the remaining 49% of Biochem and changes its name to Isagro Biochem.

2003
June
Isagro finalised an agreement with Eramet & Comilog Chemicals S.A. ("Erachem"), a Belgian company active in the recycling of various copper-based residues, pursuant to which Erachem agreed to exclusively supply Isagro with copper oxychlorides.
This agreement will allow the Company to enter a market segment and international markets where it has not been present until now.
November
- Isagro I.P.O. The company is listed on the Italian Stock Exchange.
- Merger by incorporation of 4 wholly owned subsidiary Companies into Isagro S.p.A.: Isagro BioFarming S.r.l., Isagro Europe S.r.l ., FitoFormula S.r.l. and VerdeVivo S.r.l., with effect January 1 st 2004.
December
Isagro establishes Isagro USA. This establishment is part of a large strategic group project which is based on a direct presence on the strategic markets characterized by a high development potential for the Group's products.

2004
June
- Establishment of Isagro Brasil Ltda.
- Opening of a branch office in Cuba.
- Sale of the product line VerdeVivo to the Kollant Group effective from September 1, 2004.
- Acquisition by Isagro of the 37% stake held by Bayer CropScience in AgriFormula S.r.l.
- Production agreement with Oxon Italia SpA, a company connected with Sipcam, with a significant increase in the maximum production capacity of Tetraconazole
July
- A long term agreement with Solvay Solexis for the purchase of TFE which represents an important element in the production process of Tetraconazole. In the framework of this co-operation, ISAGRO is going to build by the end of 2005 in Bussi sul Tirino (PE), in an area currently owned by Solvay Solexis, a production plant for the final synthesis of Tetraconazole.
- Agreement with Caffaro to diversify its supply sources of “M-Alcohol”, necessary for the production of Tetraconazole.
- Isagro Copper S.r.l., wholly owned by Isagro S.p.A., is incorporated in Isagro S.p.A. effective from January 1, 2004.
August
- Long term agreement with Dupont for the supplying of TFE which represents an important element in the production process of Tetraconazole.
September
- Establishment of Isagro Argentina Limitada.
November
- Isagro has received the approval to list the shares on the STAR segment of Mercato Telematico Azionario managed by Borsa Italiana S.p.A.

2005
January
Isagro acquired a 22% stake in Arterra Bioscience S.r.l., a research company active in the industry of biology and molecular genetics and headquartered in Naples.
The contribution of Arterra’s technologies, complementary to those of Isagro Ricerca, will facilitate and speed-up the screening of new molecules as well as the definition of the relative action mechanisms.
March
The U.S. Environmental Protection Agency (E.P.A.) has approved the " Section 18 " with a three year validity to sell the proprietary fungicide Tetraconazole in USA on soybean.
April
The U.S. Environmental Protection Agency (E.P.A.) releases the 7-year authorisation, known as " Section 3 ", to sell the proprietary fungicide Tetraconazole in USA on sugarbeet.
May
Establishment of Isagro Colombia Ltda.
June
Isagro acquired the 10% stake of Isagro Ricerca S.r.l. from Sipcam S.p.a..
August
Establishment of Isagro Japan Ltd.
November
Establishment of Isagro Mexico S.A. de C.V.
December
Isagro BioFarming S.r.l., wholly owned by Isagro S.p.A. is incorporated in Isagro S.p.A.

Establishment of Isagro Sipcam International, a Joint Venture on a 50/50 basis between Isagro and Sipcam, that will have the mission of acquiring participations, acquiring and/or developing products of common interest and carrying out formulation production activities in the countries where the two partners shall work together.
Acquisition by Isagro S.p.A. of the 50% of Sipcam Agro S.A., Brazil, a company which has been operating in the formulation and distribution of agropharmaceuticals in Brazil since 1979.
June
Sale of 41% of Isam S.r.l. (Italy) share capital to the company Semag S.r.l. that thus becomes the leading shareholder with a 90% stake.
Inauguration of the new tetraconazole production facility at Bussi sul Tirino (Pescara).

Acquisition of the 75% of Barpen International S.A., a company operating in the distribution of agropharmaceuticals in Colombia
Acquisition of the 51% of Agro Max S.r.l., a company operating in the distribution of agropharmaceuticals in Argentina.

Euro 1,550,000 capital increase, which is now Euro 17,550,000.
